These Terms govern your business's use of Aidotics BMS — the web application at bmsweb.aidotics.com and the Aidotics BMS mobile app. They apply to the business ("you", "the Bureau") and to every staff member you give access to.
Read Clauses 3, 4, 9, 10 and 11 and Schedule B carefully. They set out what Aidotics does not do, who is responsible for verifying partners, what you may and may not do with partner data, and the limit of Aidotics' liability. See also our Privacy Policy and Cancellation and Refund Policy.
1. Acceptance
You accept these Terms by ticking the agreement box at registration, or by using the software. If you accept on behalf of a business, you confirm you are authorised to bind it. Aidotics records acceptance with a timestamp and document version.
You must inform every staff member you give access to that their use is governed by these Terms and by our Privacy Policy, and you must reflect that in your own employment or engagement documentation. Aidotics does not collect a separate acceptance from each staff member.
2. What Aidotics provides
Software for running a care staffing business: business registration and setup, team accounts and permissions, lead and client records, partner records, duty coordination, and billing tools. Features change over time.
3. What Aidotics is not
Aidotics is a software provider. Aidotics is not a nursing bureau, staffing agency, placement agency, recruitment agency, employer, principal, contractor, healthcare provider, medical practitioner, emergency service, verification agency, or background-check provider.
Aidotics does not:
- select, interview, engage, deploy, supervise, replace or pay any partner;
- verify any partner's identity, documents, qualifications, character, health or fitness for any duty;
- conduct, arrange, commission or pay for police verification;
- inspect any client location;
- provide, supervise or take responsibility for any care service;
- guarantee that any partner is available, suitable, qualified, honest, competent or safe.
You must not represent otherwise to a client, a partner, an authority or in any advertisement, invoice or communication. You must not state or imply that a partner is verified, cleared, screened or approved by Aidotics.
4. Verification is your responsibility
This clause applies notwithstanding anything else in these Terms or in the software.
Aidotics staff preview documents that partners upload. That preview checks only legibility, completeness, expected document type, and whether a file is obviously altered. A document may be marked rejected on those grounds. Preview is not verification.
Aidotics does not contact any issuing authority, does not contact the police, does not query any government database, and does not confirm that any document is genuine.
Police verification is arranged by the partner, independently. Aidotics is not involved in it in any way and receives no payment for it. Where a partner uploads a police verification document, Aidotics displays it as a document the partner provided. Nothing more.
Where the software shows “verified”, “approved” or similar for a document, that means only that a file was submitted and previewed for format or legibility — not that Aidotics authenticated identity or police clearance.
Before engaging any partner you must independently: verify their identity and documents; confirm their qualifications and registrations with the issuing bodies; obtain and check references; assess their suitability for the specific duty and client; obtain or require police verification where your business, your client or the law requires it; and satisfy yourself as to their character, health and fitness.
You are solely responsible for every decision to engage, assign, deploy, retain or replace a partner, and for everything that partner does or fails to do. Aidotics is not responsible for any act or omission of a partner, including theft, fraud, assault, abuse, negligence, injury, death, property damage or any other conduct, regardless of any status, field or document displayed in the software.
5. Your accounts and staff
You control who receives access and at what permission level. You must remove access promptly when a staff member leaves or changes role, and you are responsible for everything done under your accounts.
Device binding. Each staff account works on one registered device. A new device is blocked for 48 hours as a security control against credential sharing. There is no in-app request flow — to seek an override, email bmssupport@aidotics.in from your registered address.
6. Your data
Information you enter about your clients, patients, leads and staff remains yours. You grant Aidotics the right to host, store, process and display it in order to run the software.
You are the data fiduciary for it. You are responsible for having a lawful basis, giving required notices, obtaining any required consent under the Digital Personal Data Protection Act, 2023, and honouring rights requests. You must not upload data obtained unlawfully, or health information beyond what your operations genuinely require. You must not upload special-category or health data beyond what is necessary for care operations, and you warrant you have given DPDP-compliant notice (and consent where required) to clients, patients, staff and partners.
A separate Schedule A — Data Processing Agreement (DPA) forms part of these Terms and governs Aidotics' processing of bureau-controlled personal data.
7. Subscriptions, fees and payment
Fees are as stated in your plan or order, exclusive of GST. Payment is processed by Razorpay under Razorpay's own authentication. Aidotics does not store your card details.
No refunds. Once a subscription period is charged, fees are not refundable in whole or in part. You may cancel at any time; access continues to the end of the paid period. Full terms are in the published Cancellation and Refund Policy, which forms part of these Terms.
Aidotics may suspend paid features for non-payment after notice, or immediately where fraud or a security risk is suspected.
8. Wallet and credits
Where your plan includes a wallet or credit balance, that balance is stored value held against future use of the software. It is not a deposit, not transferable, and not redeemable for cash. Expiry and treatment on cancellation are as stated in the Cancellation and Refund Policy.
9. Partner data
Schedule B applies to every person you give access to who can view, export or share partner information. Read it. Breach of Schedule B is a material breach of these Terms.
You must not share a partner’s full Aadhaar number or unmasked Aadhaar image with a client unless strictly necessary for that placement and lawful. Prefer masked identity where sufficient. You remain solely accountable for each share.
10. Liability
Aidotics provides the software as is and as available, with no warranty of any kind — express or implied — as to accuracy, availability, fitness for purpose, uptime, results, or the conduct, identity or competence of any person.
Aidotics' total liability to you, for all claims combined, is limited to ₹5,000. This applies regardless of the legal basis of the claim.
Aidotics is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business, data or anticipated savings.
Nothing in this clause excludes liability that cannot be excluded under Indian law.
11. Indemnity
You will indemnify Aidotics against all claims, losses, penalties and reasonable legal costs arising from: your engagement, assignment, supervision or payment of any partner; any incident at a client location or during a duty; your failure to verify a partner; your collection, use, disclosure or sharing of any personal data, including partner documents; any representation that Aidotics supplies, employs, verifies or guarantees a partner; or your breach of these Terms or Schedule B.
12. Suspension and termination
Aidotics may suspend or terminate access for non-payment, breach, unlawful conduct, misuse of partner data, or security risk. You may cancel at any time as set out in Clause 7.
On termination, access ends. Clauses 4, 6, 9, 10, 11 and Schedule B survive.
13. Changes to these Terms
Aidotics may update these Terms. Material changes will be notified by email or in the application at least 14 days before they take effect. Continued use after the effective date is acceptance. If you do not accept, cancel before that date.
14. Disputes
These Terms are governed by Indian law.
The parties will first attempt to resolve any dispute by discussion for 30 days. Any dispute not resolved will be referred to arbitration by a sole arbitrator appointed by agreement under the Arbitration and Conciliation Act, 1996. The seat and venue is Gurugram, Haryana; proceedings will be in English; the award is final and binding.
Courts at Gurugram, Haryana have exclusive jurisdiction over arbitration-related proceedings and any matter not capable of arbitration.
Nothing prevents either party from seeking urgent interim relief, or a person from approaching a statutory authority.
15. General
Notices to Aidotics: bmssupport@aidotics.in. Notices to you: your registered email or in-application.
You may not assign these Terms without consent. Aidotics may assign on a reorganisation or transfer of business. If a provision is unenforceable it is limited to the minimum extent necessary and the rest continues. Failure to enforce is not a waiver. These Terms, the Privacy Policy, the Cancellation and Refund Policy, Schedule A and Schedule B are the entire agreement.
Nothing creates a partnership, agency, franchise or joint venture.
Schedule A — Data Processing
A separate Data Processing Agreement (Schedule A / DPA) forms part of these Terms and sets out how Aidotics processes personal data on behalf of the bureau as data fiduciary. Contact bmssupport@aidotics.in or grievance@aidotics.in for the current Schedule A.
Schedule B — Partner Data, Acceptable Use and Anti-Poaching
This Schedule applies to you and to every person you give access to who can view, search, export or share partner information.
B1. Permitted use
You may access partner data only to: match a genuine requirement of your business; communicate with a partner about a specific duty; carry out your own verification and engagement; administer an accepted engagement, attendance, payment or complaint; or comply with a legal obligation.
B2. Prohibited
You must not:
- sell, rent, licence, exchange or disclose partner data to another bureau, agency, broker, recruiter, platform, advertiser or data broker;
- place partner details in messaging groups accessible to unauthorised persons;
- bulk-extract, scrape, crawl, harvest contacts, or build a database of partners outside Aidotics;
- use partner data to advertise unrelated services, send bulk marketing, or recruit for a third party;
- use partner contact details to move a partner off the platform in order to avoid charges or controls;
- use partner data to train, test or enrich any artificial-intelligence system or competing product;
- combine partner data with other datasets for an incompatible purpose; or
- retain partner data after the permitted purpose ends.
B3. Sharing profiles with clients
The software lets your staff generate a partner profile and share it with a prospective client, with or without attached documents. Where documents are attached, that file contains images of the partner's identity and qualification documents.
Aidotics does not restrict, watermark, or keep a record of these shares. Once sent, the file is outside Aidotics' systems.
You must therefore:
- share a profile only with a genuine prospective client, and only as necessary for a specific placement;
- attach documents only where the client genuinely requires them for that placement;
- not share a partner’s full Aadhaar number or unmasked Aadhaar image with a client unless strictly necessary for that placement and lawful; prefer masked identity where sufficient;
- instruct the recipient to use the file only for that placement and to delete it afterwards;
- keep any copy your staff retain secure, and delete it when no longer needed;
- honour a partner's request to stop sharing their profile.
You are accountable in law for every share your staff make. You indemnify Aidotics against any claim arising from them.
B4. Access control
Limit partner data access to trained staff with a genuine need. Review access periodically. Revoke promptly when a staff member leaves or changes role. Ensure your staff are bound by confidentiality obligations.
B5. Incidents
Report any suspected sale, leak, scraping or misuse of partner data to bmssupport@aidotics.in within 24 hours of becoming aware, with the facts available and preservation of evidence.
B6. Enforcement
Aidotics may investigate suspected misuse, restrict or suspend access immediately, preserve evidence, notify affected partners, and pursue any remedy available in contract, data protection law, intellectual property law or otherwise, including injunctive relief.
These obligations survive termination.
